Welcome to HeyGeode! The terms "we," "our" refer to HeyGeode. HeyGeode operates this store and website, including all related information, content, features, tools, products, and services in orders, in order to provide you (the customer) with a curated shopping experience (the "Service"). HeyGeode is powered by Shopify, which enables us to provide the Service to you.

Your order is not accepted until confirmed and accepted by HeyGeode. We must receive and process your payment before your order is accepted. Please review your order carefully before submitting it, because after an order has been accepted, HeyGeode may not be able to accommodate cancellation requests. If we do not accept, change, or cancel an order, we will attempt to notify you using the email address, billing address, and/or phone number provided at the time you placed the order.

Your purchases are for your personal or household use only and may not be used for commercial resale or export.

Section 4 – Pricing and Billing

Prices, discounts, and promotions are subject to change without notice. We are not responsible for shipping and delivery delays. All delivery times are estimates only and cannot be guaranteed. We are not responsible for delays caused by carriers, customs processing, or events beyond our control. Once we transfer products to a carrier, ownership and risk of loss transfer to you.

Our Service, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video and audio, and their design, selection, and arrangement, is owned by HeyGeode, its affiliates, or licensors and is protected by U.S. and foreign patent, copyright, and other intellectual property laws.

All other names, logos, product and service names, designs, and slogans in the Service are trademarks of their respective owners.

HeyGeode is powered by Shopify, which enables us to provide the Service to you. However, any sales and purchases made at our store are conducted directly with HeyGeode. By using the Service, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and HeyGeode, including any injury, damage, or loss arising from the purchase of products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liability arising out of or in connection with your purchases and transactions at HeyGeode.

In addition, you agree not to: (a) upload or transmit viruses or any other malicious code that may affect the functionality or operation of the Service; (b) reproduce, copy, plagiarize, extract, sell, resell, or exploit any part of the Service; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, or scam the Service; (e) use any robots, spiders, scraping tools, data collection and extraction tools, automated devices or processes, AI tools (such as agentic AI), or automated or manual means to access the Service; or (f) interfere with, bypass, or circumvent the security or authorization features, robots exclusion headers, or other measures we use to restrict access to the Service. To the maximum extent permitted by law, HeyGeode, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, or licensors, or such persons of Shopify and its affiliates, shall not be liable for any loss, damage, or injury arising from your use of any Service or any products purchased through the Service, or any other claim related to your use of the Service or any products, including but not limited to any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or products) posted, transmitted, or otherwise made available through the Service, or for any direct, indirect, incidental, punitive, special, or consequential damages of any nature, including but not limited to lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based on contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility thereof.

You agree to indemnify, defend, and hold harmless HeyGeode, Shopify, and their affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from and against any losses, damages, liabilities, or claims (including reasonable attorneys' fees) payable to any third party arising out of or resulting from: (1) your breach of these Terms of Service or the documents incorporated by reference; (2) your violation of any law or infringement of third-party rights; or (3) your access to and use of the Service.

We will notify you of any claim subject to indemnification, but failure to notify you in a timely manner will not relieve you of your obligations, unless you are materially prejudiced as a result. We may control the defense and settlement of such claims (including the selection of counsel) at your expense, but without your consent (which may not be unreasonably withheld), we will not settle any claim that requires you to assume non-monetary obligations.
